1. Overview
This Refund & Cancellation Policy ("Policy") applies to all professional, legal, regulatory, and compliance advisory services ("Services") availed by clients ("Client", "you") from INEXUS CONSULTANTS ("INEXUS", "we", "us", "our") through our website, email, telephone, or in-person engagement. By engaging our Services or making any payment to us, you agree to the terms set out below. This Policy should be read together with our Terms & Conditions and Privacy Policy.
Because our Services are professional in nature — involving advisory work, drafting, filings, and liaison with government departments and regulatory authorities — this Policy differs from a typical retail refund policy for goods. Please read it carefully before making a payment.
2. Nature of Fees Charged
Invoices raised by INEXUS may include two distinct components, and this distinction governs refund eligibility:
- Professional Fees: Our own consultancy, advisory, drafting, and service charges for the work performed by our team.
- Government / Statutory Fees: Fees, challans, and charges payable to government departments, regulatory bodies, or portals (e.g., under EPR, BIS, WPC, LMPC, FSSAI, MCA, GST, IEC, or similar regimes) that INEXUS collects from the Client and remits to the relevant authority on the Client's behalf.
Any quotation, invoice, or engagement letter issued to the Client will, wherever applicable, indicate these components separately.
3. Non-Refundable Fees
The following amounts are strictly non-refundable under any circumstances, once paid:
- Government, statutory, portal, or third-party fees that have already been remitted or paid by INEXUS to the concerned department, authority, or agency on the Client's behalf. Once such payment is made, it is beyond our control to recover, and the refund (if any) is governed solely by the policy of that government department or authority
- Professional fees for work, advisory time, drafting, research, filings, or representations that have already been completed or substantially performed, whether or not the underlying application or matter has reached final approval
- Fees paid for services that have been fully delivered (e.g., a completed legal opinion, drafted document, or filed application)
- Any payment gateway, bank transfer, or processing charges incurred in collecting or refunding payment
4. Cancellation and Refund by Stage of Engagement
4.1 Before Commencement of Work
If a Client cancels an engagement in writing before INEXUS has commenced any work (including drafting, research, document preparation, or government filing) on the assigned mandate, the professional fee paid may be refunded after deducting a processing charge of up to 40% of the amount paid, to cover administrative and onboarding costs. Any government fee collected but not yet remitted will be refunded in full, subject to the deduction of applicable bank/transaction charges.
4.2 After Commencement of Work
Once INEXUS has commenced work on a mandate — including but not limited to document drafting, compliance mapping, liaison with authorities, or submission of an application — the professional fee becomes non-refundable, whether in part or in full, as it reflects time, expertise, and resources already deployed. Where work has been partially completed, INEXUS may, at its sole discretion, offer a pro-rated refund of the unutilised portion of the professional fee after assessing the work completed.
4.3 After Filing or Submission to an Authority
Once an application, return, or document has been filed or submitted to a government department, regulatory authority, or portal, no refund of professional fees or government fees will be payable, irrespective of the outcome of that application.
5. Rejection, Delay, or Non-Approval by Authorities
INEXUS acts as a professional advisor and facilitator; final approval, licensing, registration, or clearance decisions rest solely with the concerned government department or regulatory authority. INEXUS shall not be liable to refund any fees where:
- An application is rejected, returned, delayed, or kept pending by the authority for reasons including but not limited to incomplete or inaccurate information/documents furnished by the Client, changes in law or policy, department-level delays, or authority discretion; or
- The Client fails to provide requisite documents, approvals, or information within the timelines communicated by INEXUS
Where a rejection is directly and solely attributable to a documented error on the part of INEXUS (and not to Client-supplied information or authority discretion), INEXUS will, at its discretion, either re-file the application at no additional professional fee or evaluate a partial refund of the professional fee for that specific mandate.
6. Deficiency in Service by INEXUS
If a Client believes there has been a genuine deficiency in service directly attributable to INEXUS (for example, failure to commence agreed work within a reasonable time after full payment and document submission by the Client), the Client may raise the matter in writing as per Section 8. Each case will be reviewed on its merits, and any refund, if approved, will be limited to the professional fee for the specific deliverable in question and will exclude government/statutory fees already remitted.
7. Retainer and Subscription-Based Engagements
For Clients engaged on a monthly/annual retainer or subscription basis for ongoing compliance support:
- Fees already paid for a completed billing period are non-refundable
- Cancellation of an ongoing retainer requires a minimum of 30 days' prior written notice; fees for the notice period remain payable
- No refund is due for the unused portion of a billing cycle in which cancellation notice is given mid-cycle
8. How to Request a Refund
All refund requests must be submitted in writing to info@inexusconsultant.com, quoting the invoice number, date of payment, and reason for the request. INEXUS will acknowledge the request within 5 business days and communicate its decision, along with reasons, within 15 business days of receipt of all necessary information.
9. Mode and Timeline of Refund
Approved refunds will be processed to the original mode of payment (or such other mode as mutually agreed) within 15–21 business days of approval, subject to bank/payment gateway processing timelines, which are beyond our control. Any applicable bank or payment gateway charges will be deducted from the refund amount.
10. Force Majeure
INEXUS shall not be liable to issue any refund where performance of Services is delayed or prevented due to circumstances beyond its reasonable control, including but not limited to government shutdowns, portal downtime, changes in law, strikes, natural disasters, or other force majeure events.
11. Amendments to this Policy
INEXUS reserves the right to modify or update this Policy at any time. The revised Policy will be posted on our website with an updated "Last updated" date and will apply prospectively to engagements entered into thereafter.
12. Governing Law and Jurisdiction
This Policy shall be governed by the laws of India, and any disputes arising in connection with it shall be subject to the exclusive jurisdiction of the courts at Delhi.
